Control Total Terms and Conditions

Last updated: 2 October 2026

These Terms and Conditions govern access to, the contracting of and the use of Control Total, a service provided by Weblabor, including its free and paid plans, features, modules, associated services and custom developments. By registering, activating a plan, contracting, paying for or using Control Total, the Client accepts these Terms and the other applicable conditions.

1. Relationship with other Weblabor conditions

These Terms are supplemented, where applicable, by the Weblabor General Terms, the Software Development Terms and Conditions and the other applicable conditions available at Weblabor.mx.

Custom Modules and Custom Enhancements are additionally subject to the Weblabor Software Development Terms and Conditions. Where there is a contradiction regarding a matter specifically regulated for Control Total, these Terms prevail for that matter. The accepted quote determines the commercial and functional scope specifically contracted.

2. Nature of the service and ownership of Control Total

Control Total is a software platform owned by Weblabor and is provided under a licence or subscription scheme. Use of the service does not imply the sale, assignment or transfer of the source code, architecture, components, interfaces, technical documentation, trademarks or other intellectual property elements of Control Total.

Unless expressly agreed in writing, the Client receives exclusively a right of use subject to the plan, period, Team, limits and features contracted or enabled.

3. Registration, plans and activation

To use Control Total there must be an active plan. Weblabor may offer free plans and paid plans with different capacities, limits, features, users, branches, storage, usage, modules or other characteristics.

The characteristics and limits of each plan will be those published or quoted by Weblabor at any given time. The availability of a free plan does not imply that all Control Total features are free, nor that such plan must keep the same characteristics indefinitely.

4. Subscriptions, renewal and payments

Paid subscriptions may be contracted on a monthly or annual basis, or under another billing period expressly offered by Weblabor. The service period begins on the corresponding contracting or activation date.

Subscriptions renew automatically for successive periods for as long as they are not cancelled through the available mechanisms. The Client may cancel the renewal and will keep access to the paid plan until the current period ends.

Payments for periods already started or paid are not refundable for lack of use, early cancellation or the Client's decision to stop using the service, without prejudice to any rights that by law cannot be waived.

Weblabor may modify prices and commercial conditions for future periods. A price change will not retroactively alter a period already paid and will apply from the corresponding renewal.

5. Non-payment, grace period and change of plan

When a paid subscription expires without the corresponding payment being received, the Client will have a grace period of up to five (5) days. Once that period has elapsed, Weblabor may suspend access or change the status of the plan.

Where possible, the account may move down to the current free plan. To do so, it must meet the limits and requirements of that plan. If the account exceeds, among others, the limits on users, branches, storage or other resources of the free plan, it may be left without a plan and without access until the Client brings the necessary conditions up to date or contracts a compatible plan.

Weblabor is not obliged to automatically delete, select or modify the Client's users, branches, data or other elements to make an account that exceeds the limits of a lower plan comply with them.

If the Client brings the service up to date within the data retention period, the account may be reactivated with the information available. Weblabor will not charge a reactivation fee unless a different service is subsequently established and expressly accepted.

6. Cancellation and data retention

When a paid subscription is cancelled, the Client will keep access until the end of the period already paid, except in the case of suspension for breach, security, prohibited use or another cause provided for in these Terms.

When an account is left without service or access and is not reactivated, Weblabor may keep its data for up to thirty (30) days. Once that period has elapsed, Weblabor may permanently delete the account and its information with no obligation of later recovery.

It is the Client's responsibility to use the available export tools and to keep copies of the information it requires before the retention period ends.

7. Limits, usage and features by plan

Each plan may set limits on users, branches, storage, documents, invoicing stamps or services, operations, modules, integrations, usage or other resources.

When the Client reaches a limit, Control Total may block the creation, use or execution of the affected function until capacity is freed, additional capacity is acquired or a plan that allows its continued use is contracted.

Weblabor may modify, replace or withdraw plans for future renewals and, when a plan is no longer offered, may require migration to another available plan at the end of the current period.

8. Teams, users and branches

For the purposes of these Terms, a Team is the independent instance, organisation, company or business within Control Total for which a plan, module or development is enabled.

The Client is responsible for the user accounts it creates, the permissions it grants and the actions carried out by authorised users. Weblabor will not be responsible for deletions, modifications, operations, documents or decisions made through accounts and permissions legitimately enabled by the Client.

Each person must use their own account. Sharing credentials between different people is prohibited, among other reasons, to preserve the security, traceability and correct identification of the actions carried out within the system.

Additional branches may have separate costs or conditions according to the current plan or quote.

9. Captured information and the Client's responsibility

The Client is responsible for the accuracy, legality, integrity and relevance of the information it captures, imports, configures or uses in Control Total, including commercial, administrative, tax, accounting, customer, product, price and tax data and any other information about its operation.

Control Total is a software tool. Weblabor does not, through the mere use of Control Total, provide professional accounting, tax, legal, financial or administrative advisory services. The Client must obtain specialised advice when necessary.

Reports, calculations, statistics, inventories, accounts, documents and other results depend on the information and configurations provided by the Client. Commercial or administrative decisions made on the basis of them are the Client's.

When an operation fails because of incorrect data, the Client's configurations or a third party's requirements, that does not in itself constitute a defect of Control Total. If there is a genuine software defect that prevents the intended operation, Weblabor must address it according to the support and incident rules.

10. Importing and exporting information

Control Total may include self-service tools to import or export information in the formats and scope available at any given time. The existence of such tools does not imply that Weblabor must manually carry out migrations, data entry, clean-ups, exports or imports on the Client's behalf.

Special data migration, processing, transformation or loading work may be quoted separately.

11. Data and confidentiality

The data, documents, databases and particular information provided or uploaded by the Client will continue to belong to the Client, subject to the privacy and data processing terms and other applicable provisions.

Weblabor may not disclose to other clients identifiable confidential information, trade secrets, databases or particular information of the Client. This does not prevent Weblabor from reusing general knowledge, functional patterns, technical solutions or software developments that do not reveal the Client's confidential information.

12. Availability, maintenance and backups

Weblabor will endeavour to keep Control Total available and operational, but does not guarantee uninterrupted availability or a one hundred percent (100%) service level. The service may be affected by maintenance, updates, infrastructure, the internet, providers, security, technical failures, force majeure or other circumstances.

Weblabor may carry out scheduled or emergency maintenance when necessary to operate, protect, correct or evolve Control Total.

Weblabor may keep internal backups as part of its operation but, unless a specific service or agreement states otherwise, such backups do not constitute a backup service contracted by the Client nor imply a guarantee of recovery of any particular data or version.

13. Security and permitted use

The Client must protect its credentials and adopt reasonable security measures. It must inform Weblabor when it detects unauthorised access or incidents that could compromise its account.

Control Total may not be used for unlawful, fraudulent or abusive activities, to breach systems or the rights of third parties, distribute malicious code, send spam, compromise the security of the platform or make any use that could create technical or legal risks for Weblabor, other clients or third parties.

Weblabor may immediately suspend an account when there is a reasonable risk of security issues, fraud, illegal use, serious harm to the platform or material breach, without prejudice to any other actions that may apply.

14. Support

Clients with active service will have access to the support channels available for their plan, including the ticket system. Certain plans or services may include priority support, shorter first response times, an advisory chat or other additional channels.

First response times are not guaranteed technical resolution times. An incident may require diagnosis, reproduction, QA, development, deployment or other subsequent activities.

Support covers guidance on the use of the available features and the handling of incidents. Special training, operational work, manual loads or migrations, extraordinary configurations, developments, new features or scope extensions may be quoted separately.

Weblabor's obligation to investigate and, where applicable, correct an incident begins when the Client reports it through the enabled channels and provides information reasonably sufficient to analyse it. Weblabor may not be considered in breach regarding incidents that have not been notified and of which it had no reasonable knowledge.

15. Evolution of Control Total

The Client acknowledges that Control Total is an evolving product. Weblabor may update, reorganise, extend, replace or modify interfaces, architecture, components, flows and features to maintain, improve or evolve the product.

When a modification materially affects a functional objective specifically contracted by a Client and the Client reports it, Weblabor must review the incident and, where applicable, restore that objective or provide a reasonably equivalent functional alternative.

Weblabor is not obliged to keep exactly a previous interface, flow, technology, architecture or implementation when the functional objective can be met through another solution.

16. Third-party services and integrations

Control Total may depend on or integrate with platforms, APIs, invoicing services, payment gateways, messaging, artificial intelligence, storage, maps or other third-party services. Unless the quote expressly states otherwise, the prices of Control Total or of a development do not include third-party fees, licences, usage, commissions or charges.

Weblabor does not control or guarantee that such third parties will indefinitely maintain their services, APIs, characteristics, prices, policies or conditions. Changes by third parties may require modifications to Control Total and, where reasonably possible, Weblabor will endeavour to keep a functional alternative.

17. Existing Modules

An Existing Module is a feature already developed by Weblabor. Contracting it enables its use according to the capabilities, configurations and processes available.

Contracting it does not include customisations, interface changes, flow modifications, new features or particular adaptations, unless they are expressly contracted.

Existing Modules may be sold as a one-off payment, monthly, annually, included in a plan or under another arrangement determined by Weblabor.

18. Custom Modules

A Custom Module is a module or substantial set of features whose objective and operational requirements are defined on the basis of the Client's needs and are specifically quoted.

Its custom nature refers to the functional objective and requirements contracted. It does not mean that the Client acquires control over the interface, architecture, technical logic, internal structure, design, layout of elements or implementation method.

Weblabor will determine the technical and product solution, seeking consistency, compatibility, maintainability and scalability within Control Total. The Client may propose alternatives, but they will only be binding when they expressly form part of the scope or are necessary to meet a contracted requirement.

Once fully paid and completed, the Custom Module will be enabled for the Team for which it was contracted, without Weblabor charging that Team again for the development cost of that same feature. This does not replace the general licence, base modules, third parties or other applicable services.

19. Custom Enhancements

A Custom Enhancement is a feature, modification or adaptation specifically quoted on an Existing Module.

To use it, the Client must keep the base module contracted or enabled when it has a separate cost or arrangement.

Once fully paid and completed, the Custom Enhancement will be enabled for the contracted Team without Weblabor charging that Team again for the development of that same enhancement, even if its price or commercial arrangement for third parties later changes.

20. Corrections, scope changes and suggestions

A correction is the intervention necessary for a contracted feature to meet the objectives and requirements expressly agreed. A genuine defect that prevents or materially affects that operation must be addressed by Weblabor.

A capability, process, integration or behaviour not contemplated in the scope may be considered a scope extension and require a new quote.

Suggestions of convenience, wording, interface preferences, alternative ways of carrying out processes already available or other improvements not necessary to meet the contracted objective may be accepted, rejected or added to the backlog with no obligation or deadline for their execution.

Weblabor may, at its discretion, make adjustments or improvements at no cost. Such courtesies do not modify the scope nor create an obligation to repeat them in later requests.

21. Ownership and reuse of developments

All code, components, features, enhancements, adaptations, software logic, interfaces and other elements developed or incorporated into Control Total will remain the property of Weblabor, unless expressly agreed otherwise in writing.

Payment for a development remunerates its creation and enablement for the contracted Team, but does not grant exclusivity nor transfer intellectual property.

Weblabor may reuse, modify, extend, integrate, license, sell, resell, include in plans or make the developments available to any third party under the commercial conditions it determines, without sharing the Client's data or confidential information.

22. New versions and later features

Enabling a previously paid feature does not grant a free right to future products, modules, premium versions, extensions or substantially additional features.

The Client will keep the functional objective it acquired under these Terms, but new capabilities developed later may be subject to separate pricing and contracting.

23. Development, acceptance and non-payment of customisations

Custom Modules and Custom Enhancements are additionally subject to the development, QA, review, acceptance and warranty process set out in the Weblabor Software Development Terms and Conditions available at Weblabor.mx.

Final enablement requires full payment for the development, unless expressly agreed otherwise.

If the Client cancels, abandons the project or stops making the committed payments before it is paid in full and completed, it will lose the right to demand the completion or enablement of the pending feature. Amounts corresponding to work, progress, resources or activities already carried out will not be refundable.

24. Replacement and discontinuation of features

Weblabor may replace, transform or discontinue modules, features or implementations because of technological evolution, architecture, compatibility, security, obsolescence, regulation, third-party dependencies, technical or commercial viability or other justified reasons.

When Weblabor deliberately decides to discontinue a feature, it will inform the Client with reasonable notice when circumstances allow and will endeavour to keep an alternative way of meeting the functional objective previously available, especially when it is a specifically contracted feature.

If a modification or withdrawal is mandatory by law, authority, security, an external provider or a circumstance beyond Weblabor's reasonable control, Weblabor may act as quickly as necessary and does not guarantee that an equivalent alternative will always exist.

25. Commercial conditions of modules and developments

Weblabor may determine for new clients the commercial arrangement of its modules and features, including one-off payment, monthly, annual, inclusion in plans, add-ons or other schemes.

When a Client has paid for a Custom Module or Custom Enhancement as a one-off payment and it has been enabled for its Team, a later change in the price or arrangement applicable to third parties will not in itself create a new charge for the development already paid for that Team.

There is no automatic right to transfer a module or enhancement acquired for one Team to another Team. Weblabor may authorise it or set commercial conditions for it.

26. Modification of these Terms

Weblabor may update these Terms as Control Total, its plans, features, technology or commercial conditions evolve. The current versions will be available at Weblabor.mx and their application will be subject to Weblabor's applicable general rules on acceptance, versioning and notification.

27. Acceptance

Registering, activating a free or paid plan, accepting a quote, paying, renewing or continuing to use Control Total constitutes acceptance of these Terms and of the additional conditions applicable to the service specifically contracted.
